Terms of Service

Agreement

These Terms of Service (“Terms”) govern your use of The Sales Codex by Cadence (“The Sales Codex,” “we,” “us”), operated by [TO CONFIRM: legal entity name]. By creating an account, starting a trial, or using the site or product, you agree to these Terms and to our Privacy Policy. If you are using The Sales Codex on behalf of a company, you represent that you have authority to bind that company, and “you” means that company.

The service

The Sales Codex is software plus services that analyzes your sales-call recordings and transcripts with AI: it scores calls against a selling methodology, flags leaks, generates coaching and playbook material, and provides live in-call tools. We may improve, add, or retire features over time; we will not materially reduce the core service you pay for during a paid term without notice.

Subscription and billing

  • Plans. Subscriptions are billed monthly at the plan you choose at checkout — Closer ($97/month, 60 call reviews and 100 voice practice minutes per billing period), Pro ($147/month, 120 reviews and 250 minutes), or Elite ($247/month, unlimited reviews subject to a 200/month fair-use limit, and 500 minutes). Text practice is not metered.
  • Usage limits. Review and voice-minute allowances reset each billing period and do not roll over. When an allowance is reached, the related feature pauses until the period renews or you upgrade; your calls continue to be tracked.
  • Cancellation. You can cancel anytime via the billing portal in your account. Cancellation stops future charges; your access continues until the end of the period already paid. Fees already paid are non-refundable except where required by law.
  • Price changes.We may change pricing with at least 30 days’ notice; changes apply from your next billing cycle after the notice period.

Your calls and consent

You are responsible for the call content you upload or connect. You represent that you have the legal right to record, store, and share those calls with us — including any consent from call participants required by the laws that apply to you (call-recording consent laws vary by state and country). We process your calls only to provide the service to your organization, as described in the Privacy Policy.

Acceptable use

You agree not to:

  • Upload content you have no right to share, or use the service to violate recording-consent, privacy, or other laws;
  • Reverse engineer, scrape, resell, or provide the service to third parties outside your organization without our written agreement;
  • Use the service to build a competing product, or to develop or train a competing model or dataset;
  • Attempt to probe, disrupt, or gain unauthorized access to the service or other customers' data;
  • Use the coaching output to deceive or defraud prospects — the product is built to reward honest selling, and we may suspend accounts that use it otherwise.

We may suspend or terminate accounts that materially breach these Terms, with notice where practical.

Intellectual property

  • Yours. You own your call recordings, transcripts, and the codex generated from them — your scores, your mined winning lines, your playbooks, your rubric customizations. If you leave, you can export your data.
  • Ours.We own the platform: the software, the scoring methodology and engine, the product design, and everything else that isn’t your content. Your subscription is a license to use it, not a transfer of it.
  • Feedback. If you send us ideas or feedback, we may use them to improve the product without obligation to you.

Disclaimers

The Sales Codex is coaching software. It scores calls and suggests what to say — it does not guarantee revenue, close rates, or any particular sales outcome. Results depend on your offer, your market, your team, and how consistently the system is used; the results we publish (including in our case study) are from a specific team and period and are not a promise of what yours will be. AI-generated analysis can be imperfect — review it with judgment before acting on it. The service is provided “as is” and “as available,” without warranties of any kind, express or implied, to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total liability for any claim arising out of or relating to the service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

Termination

You may stop using the service and cancel at any time. On termination we will make your data available for export for a reasonable period, then delete it in line with the Privacy Policy. Sections that by their nature survive (IP, disclaimers, limitation of liability, governing law) survive termination.

Governing law and disputes

Changes to these Terms
